This is an appendix to the Terms of Service for Business Accounts (the “Terms”), which are incorporated herein by reference. Capitalized terms used but not otherwise defined herein have the meanings set forth in the Terms. This appendix applies to Sellers that provide services via Hopoti and have selected monthly or yearly pricing with Hopoti (“Fixed Term Sellers”).
Fixed Term Sellers may use Hopoti in accordance with the Terms, including the monthly pricing given as an email offer, subject to the following modifications:
Replace section 4, "Right of use", article P, which states:
"At least 80% of the bookings made by End Users in the Platform must be paid via Hopoti. The period of time regarding this term is considered to be a full calendar month during which the Platform has been used to make bookings."
with the following statement:
"The Fixed Term Seller undertakes to adhere to a separate Monthly or Yearly Pricing (Appendix) and to pay the monthly or yearly payments on time."
Overage usage can be billed in the next possible auto-renew payment or with a separate invoice or auto-payment at any point after the overage use has occurred. Overage usage is billed at a +30% rate. Bookings paid with online payments are not counted towards the usage limit.
A Fixed Term Seller may terminate its agreement to the Terms and its Seller account on the Platform one calendar month prior to the next billing date with written notice to support@hopoti.com.
Hopoti may terminate a Fixed Term Seller’s account on the Platform immediately in case of a Terms breach or unpaid invoice, or for other reasons one calendar month prior to the next billing date with written notice to the billing contact email.
Hopoti will create a custom subscription link and share it with the Fixed Term Seller. The Fixed Term Seller can securely add a debit or credit card through the link, which will be charged automatically according to the billing cycle with the valid monthly or yearly price. If the Fixed Term Seller uses Hopoti online payments, these will be charged according to the regular pricing. Hopoti may change the payment methods by communicating with the Fixed Term Seller.
